Terms of Service

1. Acceptance of Terms

By accessing or using services provided by Export Brazil Commodities Global Group LLC ("EBCGG", "we", "us"), including the Partner Portal, WhatsApp communications, and related platforms, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.

2. Services

EBCGG provides international commodity intermediation services specializing in Brazilian commodities (sugar, soybeans, corn, and related products). Our services include:

• Partner Portal for deal management, document generation, and commission tracking
• Trade finance coordination and bank instrument management
• Logistics and shipping documentation
• Due diligence and compliance verification
• WhatsApp-based verification and operational notifications

3. Eligibility

You must be at least 18 years of age and represent a legally constituted entity to use our services. By registering, you represent that you have the legal authority to bind your organization to these terms.

4. Account Responsibilities

• You are responsible for maintaining the security of your login credentials
• You must keep your contact information accurate and up to date
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activity that occurs under your account

5. Confidentiality

All business relationships facilitated through EBCGG are governed by Non-Circumvention, Non-Disclosure, and Confidentiality & Irrevocability Agreement (NCNDCIA) terms. By using our services, you agree to:

• Non-Circumvention: You shall not bypass EBCGG to deal directly with introduced parties
• Non-Disclosure: All trade information, pricing, and counterparty details are strictly confidential
• Violations are subject to penalties as defined in the applicable NCNDCIA agreement

6. Intellectual Property

The EBCGG platform, portal, documentation templates, and all associated intellectual property are owned by Export Brazil Commodities Global Group LLC. You may not copy, modify, distribute, or reverse engineer any part of our platform.

7. WhatsApp Communications

By providing your phone number and using our services, you consent to receive transactional messages via WhatsApp Business API, including:

• One-time verification codes (OTP) for account activation
• Operational notifications regarding your deals and documents
• Payment and commission alerts

These communications are transactional in nature. We do not send marketing or promotional messages via WhatsApp.

8. Commissions

Commission terms are governed by the International Master Fee Protection Agreement (IMFPA) signed between parties. Key terms include:

• Commission rates as specified in each IMFPA
• Payment within 10 banking days of the triggering event
• 8% annual mora applies to late commission payments (per IMFPA Section 7.9)
• Protected period as defined in the corresponding Certificate

9. Data Protection

Your personal data is processed in accordance with our Privacy Policy. By using our services, you acknowledge and consent to the data practices described therein.

10. Limitation of Liability

To the maximum extent permitted by applicable law, EBCGG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

12. Dispute Resolution

Any dispute arising from these Terms or the use of our services shall be resolved through ICC (International Chamber of Commerce) Arbitration in accordance with the dispute resolution provisions of the applicable NCNDCIA agreement. The seat of arbitration shall be Miami, Florida, unless otherwise agreed.

13. Termination

Either party may terminate the business relationship with 30 days written notice to the other party. Upon termination:

• Outstanding commissions remain due per IMFPA terms
• Protected periods remain in effect per Certificate terms
• Confidentiality obligations survive termination
• Data retention as described in the Privacy Policy
